1.1.
Unless otherwise agreed in writing between the parties, these terms and conditions (hereinafter referred to as the "Terms and Conditions") apply to all deliveries of products, services and equipment (hereinafter referred to as the "Product") from Frisørland Hair and Body Care A/S (hereinafter referred to as "Frisørland HABC") to you (hereinafter referred to as the "Buyer").
1.2.
These Terms and Conditions apply together with any offer from Frisørland HABC, and any subsequent order issued by the Buyer. In case of discrepancies, the Terms and Conditions apply.
1.3.
All prices are excl. 25% VAT. The price stated at the time of ordering is the applicable price. Goods are invoiced at the current price at the time of ordering, and the price does not change either in the event of a price decrease or increase. Reservations are made for price errors, etc. as a result of currency changes, force majeure, delivery failure, tax changes, sold-out items and printing errors.
2.1.
To the extent that the Buyer orders products from Frisørland HABC, Frisørland HABC will inform whether Frisørland HABC can deliver the requested products, including when delivery can be expected. Frisørland HABC is never obligated to accept an order.
2.2.
All orders over DKK 1,000,- excluding VAT, are generally delivered free of charge when ordering hair products and accessories.
Freight on furniture and fixtures is calculated based on several factors; weight, size and type of item. The freight amount will always be communicated to the Buyer and will in that case appear on the order confirmation, at checkout in the shopping cart on the website or will be communicated by customer service when placing an order by telephone.
2.3.
Frisørland HABC will, as far as possible, ensure that delivery takes place at the agreed time. If no delivery time has been agreed, delivery will take place as soon as possible, taking into account the buyer's wishes.
2.4.
A contact person must always be present for delivery at the agreed time. If Frisørland HABC's delivery person drives in vain/encounters an empty salon, a fee corresponding to delivery by carrier will be charged.
2.5.
In the event that delivery is delayed, Frisørland HABC will notify the Buyer stating the reason for the delay and when delivery can be expected. If Frisørland HABC does not deliver within this additional period, and the delay cannot be attributed to Frisørland HABC, the Buyer is not entitled to terminate the delivery.
2.6.
If the delivery date is more than 90 days from the order date, a minimum of 50% must be paid in advance when ordering/placing the order.
2.7.
Furniture is generally delivered by Frisørland HABC's own delivery person. Frisørland HABC generally delivers/carries the Product/furniture into the salon, if conditions permit (level-free access + suitable doorway). Frisørland HABC is never obliged to carry it in if the delivery person deems that the access conditions are not sufficient.
a) Delivery takes place on weekdays, typically between 08:00 and 16:00, unless otherwise agreed in writing.
3.1.
The payment terms are stated on the website in connection with the completion of the purchase or on the invoice. For inventory, it is always net cash before delivery.
3.2.
If the buyer does not pay on time, Frisørland HABC is entitled to calculate default interest from the day on which payment should have been made.
3.3.
The interest rate is currently 0.6 per month.
3.4.
In the event of late payment by the Buyer, Frisørland HABC is entitled, at its sole discretion, to suspend further deliveries until full and effective payment has been made.
3.5.
If the buyer has failed to pay outstanding invoices on time more than once, Frisørland HABC is entitled to demand advance payment for all future deliveries.
3.6.
Frisørland HABC also offers leasing of equipment in collaboration with Pacta Leasing A/S.
All leasing cases are calculated individually and require a positive credit rating at Pacta Leasing A/S. The minimum loan amount is 10,000,- excluding VAT and delivery.
3.7.
For special orders for furniture (changes in colors, dimensions, specifications of the furniture or changes/additions that go beyond Frisørland HABC's normal range), 50% must be paid in advance when ordering, unless otherwise agreed with the Seller.
4.1.
All products, accessories, furnishings, etc. remain the property of Frisørland HABC until full and final payment has been made. This retention of title does not affect the transfer of risk.
If a leasing agreement has been entered into, the retention of title is transferred to the leasing company Pacta Leasing A/S.
5.1.
All products purchased from Frisørland HABC may not, in each individual case, be resold to wholesalers or others who purchase the products with a view to resale without prior written consent from Frisørland HABC. The products may therefore only be resold to end users thereof. This does not apply to furniture and accessories, however.
5.2.
When reselling the products over the internet, the Buyer undertakes to comply with Frisørland HABC's current guidelines for this. Thus, the Buyer is only entitled to resell the products over the internet if:
a) such sales are ancillary to the Buyer's sales of products in a physical store, and thus constitute at most a minor part of the Buyer's total turnover, and
b) that the buyer clearly indicates on the website from which the products are resold where the buyer's physical store is located, including that sales from the website are ancillary to sales from the physical store.
6.1.
Frisørland HABC only trades products with professional hairdressers, hair salons and online stores with physical stores.
Anyone has the opportunity to purchase inventory from Frisørland HABC. However, Frisørland HABC is never obligated to accept an order.
6.2.
If the Buyer of products does not have sufficient training in the hairdressing profession, the Buyer is deemed to have breached the Agreement, cf. clause 10.2.
7.1.
Frisørland HABC guarantees that the delivered Products meet the respective specifications.
7.2.
The Buyer must notify Frisørland HABC if the Buyer identifies a defect or deficiency in the Products. Such notification must be made immediately and no later than 7 days after the date of delivery.
a) For furniture, any visible damage and/or defects must be reported to Frisørland HABC within 24 hours of receipt.
7.3.
Frisørland HABC may, at its sole discretion, choose to either deliver a replacement product or credit the Buyer for the amount paid in the event that an error or deficiency is found. All defective products must be returned to Frisørland HABC.
7.4.
The buyer can only claim errors and defects if information about this has been sent to Frisørland HABC no later than 12 months after delivery of the Products/accessories/inventory to which the error/defect in question relates.
7.5.
Frisørland HABC is not responsible for any damage that occurs as a result of improper use of the Products/accessories/inventory.
7.6.
A 1-year warranty is provided on Products/accessories/furniture. Warranty applies from the invoice date and does not cover: external damage, lack of maintenance/incorrect handling, furniture upholstery, and normal wear and tear. No warranty is provided on used, demo, and surplus items.
a) Certain Products/inventory or parts of inventory may be covered by an extended warranty. This will always be stated on the product page or will be disclosed directly by the seller.
8.1.
Frisørland HABC's liability for death, personal injury or damage to real or personal property caused by defects in the Products is limited to the liability stipulated in accordance with the mandatory rules of European product liability legislation.
8.2.
Frisørland HABC is not liable for damage to real or personal property caused by the Products after they have been delivered and while they are in the possession of the Buyer.
8.3.
If a claim in connection with such damage and/or personal injury as described in the preceding provisions is filed by a third party against one of the parties, that party shall immediately notify the other party in writing.
9.1.
Each party must treat all information received from the other party as confidential, and may not disclose such information to third parties.
9.2.
These Terms and Conditions do not, unless otherwise expressly stated, constitute a license to either party under any patents, trademarks or copyrights belonging to the other party.
10.1.
Frisørland HABC will at all times, to the extent reasonably commercially possible, assist the Buyer in all matters relating to the Products/accessories/inventory, but REGARDLESS OF THE REASON, Frisørland HABC's liability can never exceed the invoice value of the Products/accessories/inventory in question that gave rise to the liability in question.
10.2.
Neither party shall be liable to the other party for any indirect loss, including loss of goodwill, loss of profit or any other indirect loss. Except for breach of clause 5.
11.1.
Any dispute between the parties is subject to Danish law, excluding the rules of jurisdiction of Danish law.
11.2.
The parties agree that any dispute between the parties shall be handled by the court at Frisørland HABC's registered office.
12.1
Returns of goods must always be agreed in advance, in writing via e-mail support@frisorland.dk or by contacting Frisørland HABC's main number at +45 87 27 10 60 .
a) We will exchange hair products with a smile, as long as the product is less than one year from the date of purchase and is still in good condition. The hair products must be returned to our address in Silkeborg.
Alternatively, the hair products can be taken by the district's salesperson, but only after clear agreement with the salesperson in question.
b) Damaged or used items, items with discontinued designs or items past their expiration date cannot be returned. Once an item has been returned to Frisørland HABC, it will not be returned to the salon.
12.2. Inventory
Frisørland HABC deals exclusively with business customers. All purchases of furniture are considered B2B transactions and are therefore not covered by the statutory right of withdrawal for consumers.
As an extra service, Frisørland HABC offers a 14-day right of return on inventory, cf. the conditions below.
a) Right of return
The buyer has a 14-day right of return on inventory, unless otherwise agreed in writing, or the item is covered by the exceptions mentioned below.
The deadline is calculated from the day the item is delivered. Returns can only be made after prior written approval from Frisørland HABC.
b) Request for return
Requests for returns must be sent to support@frisorland.dk and include the following information:
• The subject field must contain: “Return – [order number] – [salon name]”
• Order/invoice number
• Salon name and contact person
• Telephone number and email address
• Item name(s) and quantity
• Reason for return
• Picture of the item (if there is a defect or damage)
Missing or incomplete information may result in the return request not being processed.
c) Condition and packaging
Returned items must be unused, undamaged and in original condition.
Items that have been used, have marks, scratches or are missing packaging may be rejected or only partially credited.
The item must always be returned properly packaged, even if it was delivered without original packaging.
Any damage during return transport due to inadequate packaging is the Buyer's responsibility.
d) Costs and reimbursement
The buyer is responsible for all transport and packaging costs when returning.
In the event of an approved return, only the price of the item will be refunded, excluding shipping and any depreciation, cf. point f).
Shipping, delivery fees, installation costs and other services are not refundable.
e) Goods without right of return
The following inventory items are excluded from the right of return:
• Goods manufactured, upholstered or customized according to the customer's wishes (e.g. special cover, special base, alternative color, electrical configuration, etc.)
• Goods ordered from a remote warehouse or manufacturer with special adaptations
• Items sold as “used”, “demo” or “remaining stock”
Note: Standard products from remote warehouses with standard black upholstery and without special customizations are covered by the 14-day return policy.
f) Assessment of the condition of the goods
Upon receipt of returned goods, Frisørland HABC will assess the condition of the goods.
If the item is deemed to be in significantly deteriorated condition, Frisørland HABC reserves the right to reject the return or deduct an appropriate amount for the deterioration in value.
The buyer bears the risk of the goods during return shipping and is responsible for ensuring that the goods arrive in the same condition as upon delivery.
Any damage incurred during return transport is considered the buyer's responsibility, unless the buyer can document that the damage did not occur during transport.

h) Other matters
Returns without prior written approval will be rejected.
Frisørland HABC reserves the right to change these terms and conditions from time to time without prior notice.
